DATA USE AGREEMENT: TAUS TRANSLATION DATASET

PUBLISHED BY: TAUS B.V. (“Licensor”)

APPLICABILITY: This Agreement governs any download, access, or use of the translation dataset published by Licensor on the Mozilla Data Collective or adjacent platforms (the “Dataset”).

By downloading, accessing, or using the Dataset, the person or entity accessing the Dataset (“Licensee”) agrees to be bound by the terms of this Data Use Agreement.

1. GRANT OF LICENSE

Subject to the restrictions in Section 2, Licensor grants Licensee a non-exclusive, worldwide, perpetual, royalty-free license to access, download, process, reproduce, and analyze the Dataset solely for the following Permitted Uses:

• Model Training & AI Development: To train, fine-tune, evaluate, test, and develop artificial intelligence, machine learning, neural machine translation, and language processing models (including associated parameters and weights) (collectively, "AI Models").

• Commercialization of Outputs: Licensee may commercially exploit, sell, host, license, or distribute any AI Models, software applications, or translation outputs created through the use of the Dataset.

2. EXPRESS RESTRICTIONS

Licensee shall NOT directly or indirectly:

• No Resale or Sublicensing of Dataset: Sell, lease, rent, sublicense, assign, host, or redistribute the raw or modified Dataset (in whole or in part, including source-target text pairs) to any third party as a standalone data asset or database product.

• No Data Extraction: Design, export, or operate any service or AI Model built on the Dataset in a manner intended to allow end-users or third parties to extract, reverse-engineer, or reconstruct the raw underlying translation pairs of the Dataset.

• No Circumvention: Circumvent, remove, or alter any digital rights management or data structure associated with the Dataset.

3. INTELLECTUAL PROPERTY & DERIVATIVE WORKS

• Licensor Ownership: Licensor retains all underlying right, title, and interest (including all Intellectual Property Rights) in and to the Dataset.

• Licensee AI Models: Any AI Models, algorithm parameters, model weights, and independent applications developed by Licensee using the Dataset shall be owned exclusively by Licensee, subject always to Licensor’s ownership of the underlying Dataset.

4. DATA PRIVACY & COMPLIANCE

Licensor represents that the Dataset has been anonymized or de-identified in accordance with applicable Data Protection Legislation (including GDPR). Licensee agrees not to perform any process or operation aimed at re-identifying any natural person from the Dataset.

5. DISCLAIMER OF WARRANTIES

The dataset is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not warrant that the dataset is error-free or complete.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, licensor shall not be liable to licensee for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising out of or in connection with the dataset or this agreement, even if advised of the possibility of such damages.

7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
